Contracts Administration Manager
Position Summary: Manage, review and maintain enterprise-wide customer and vendor contracts and business agreements. Oversees activities related to the development, implementation, maintenance and adherence to 3i Infotech’s’ compliance policies and procedures. May manage staff.
Essential Duties:
· Maintain contract files, monitor for pending expiration dates and work with account managers to renew before contract termination.
· Serve as primary liaison between customer and business development representative regarding new contracts or contract renewals by engaging in direct contract negotiations regarding terms and conditions with new and existing clients.
· Provide initial redline response to client or prospect provided agreements, consistent with company policies, service level agreements and business standards.
· Focus on reducing costs, creating efficiencies and developing a more cohesive contract standardization process as it relates to vendor contract reviews, rewrites, business issue negotiations as well as new security and regulatory changes that impact customer/vendor agreements.
· Serve as liaison with other internal functions to assist with analysis and assessment of existing and new contracts to ensure the most cost-effective results and to assist with adherence to our pricing model and other contractual standards. Internal coordination could include security/risk, audit, human resources, operations, finance, and application delivery.
· Review enterprise wide customer and vendor contracts prior to final signature to ensure strict adherence to 3i Infotech required contract terms and conditions as directed by pricing and feasibility agreements.
· Develop services agreement templates in conjunction with legal counsel and various company divisions to ensure documents support current product offering and mitigate company risk.
· Monitors developments and changes to statutes, rules and regulations that impact both new and old customer/vendor agreements. Communicates changes with management and operations groups.
· Acts as liaison with legal counsel regarding litigation matters, patents and trademarks, and other matters.
Requirements:
Knowledge, Skills and Work Experience:
· 5 years’ experience in a contracts administration role (possibly 3-5 years); preferably in the financial industry.
· Previous experience negotiating contracts in complex setting; well-versed in standard contract language such as Limitation of Liability, Warranties, Confidentiality, Assignment, etc.
· Previous experience in positions where exercising good business judgment is critical to the role. Understanding of how to make decisions that balance business risk against client needs essential.
· Experience researching federal and state laws and regulations with the ability to communicate relative content concisely and effectively to senior management.
· Versed in various regulatory requirements such as, HIPAA, GLB, SOX, NACHA, SAS70 Type II’s, Reg AB, Req Q, Reg Z, etc
· Strong analytical and detail orientation skills.
· Strong verbal communication and interpersonal skills. Must be able to communicate effectively within all levels of the organization and with customers and vendors.
· Strong written communication and documentation skills.
· Effective negotiation and influence skills with Procurement and Executive groups
· Strong team player who is flexible with a “can do" attitude.
· Must be able to maintain confidentiality.
· Demonstrated ability to multi-task and realign priorities as needed.
